These Terms and Conditions ("Terms") govern your use of this website and any purchase of goods or machining services from DESIGN & BESPOKE MAHCINING SOLUTIONS LTD , a company registered in England, Wales & Scotland under company number 16935848, whose registered office is at 2 Private Road 8 Colwick Industrial estate NG4 2JX.

By accessing our website or placing an order for goods or services, you agree to be bound by these Terms. If you do not agree, you must not use our website or services.

1. Definitions

  • "Consumer" means an individual acting for purposes wholly or mainly outside their trade, business, craft or profession, as defined by the Consumer Rights Act 2015.

  • "Business Customer" means a customer acting in the course of a trade, business, craft or profession.

  • "Goods" means any physical products sold by us via the website.

  • "Services" means machining, manufacturing, fabrication, or related services provided by us.

  • "Contract" means the agreement between you and us for the supply of Goods and/or Services.

3. Scope of These Terms

These Terms apply to:

  • All use of this website; and

  • All contracts for the sale of Goods and/or provision of Services.

Additional terms may apply to certain Goods or Services and will be made available before you place an order.

4. Orders and Contract Formation

4.1 All orders placed through the website or otherwise are subject to acceptance by us.
4.2 A contract is formed only when we issue written confirmation of your order or commence performance of the Services.

4.3 We reserve the right to refuse or cancel any order, including where:

  • there is an error in pricing or description;

  • Goods or materials are unavailable; or

  • we reasonably believe the order is fraudulent or unlawful.

5. Description of Goods and Services

5.1 Descriptions, drawings, specifications, and images on our website are for illustrative purposes only.

5.2 For machining and custom-manufactured Services:

  • specifications provided by you are relied upon;

  • you are responsible for ensuring drawings, dimensions, tolerances, and materials are accurate and suitable for the intended use;

  • we do not provide design or engineering approval unless expressly agreed in writing.

6. Prices and Payment

6.1 Prices are stated in GBP (£) and are exclusive of VAT unless stated otherwise.

6.2 Delivery, packaging, tooling, setup, or inspection costs may be charged separately.

6.3 Payment terms:

  • Payment must be made in full prior to dispatch of Goods unless otherwise agreed; and/or

  • Services may require staged or advance payments.

6.4 We reserve the right to charge interest on late payments in accordance with:

  • the Late Payment of Commercial Debts (Interest) Act 1998 (for Business Customers).

7. Delivery of Goods

7.1 Delivery dates are estimates only and time shall not be of the essence unless expressly agreed in writing.

7.2 Risk in Goods passes to you on delivery.
7.3 Title to Goods remains with us until full payment has been received.

7.4 You must inspect Goods on delivery and notify us of any damage or shortages within 48 hours.

8. Services – Machining and Manufacturing

8.1 Services will be provided with reasonable care and skill in accordance with the Supply of Goods and Services Act 1982.

8.2 We are not responsible for:

  • defects arising from materials supplied by you;

  • inaccuracies in specifications provided by you;

  • failures caused by improper use, installation, or maintenance.

8.3 Where Services involve prototypes or low-volume production, you acknowledge that minor variations may occur within industry-standard tolerances unless otherwise agreed.

9. Consumer Rights

9.1 If you are a Consumer, your statutory rights under UK law are not affected, including rights under:

  • the Consumer Rights Act 2015; and

  • the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

9.2 Goods must be as described, of satisfactory quality, and fit for purpose.

9.3 Services must be carried out with reasonable care and skill.

10. Cancellation and Returns (Consumers Only)

10.1 You have the right to cancel an order for standard Goods within 14 days of delivery without giving a reason.

10.2 This right does not apply to:

  • custom-made or bespoke Goods;

  • Goods manufactured to your specifications;

  • Services that have begun with your consent.

10.3 To cancel, you must notify us in writing. You are responsible for return costs unless Goods are faulty.

11. Business Customers

11.1 For Business Customers, all implied warranties, conditions, or terms are excluded to the fullest extent permitted by law.

11.2 Returns or cancellations by Business Customers are only accepted at our discretion and may be subject to restocking or cancellation charges.

12. Intellectual Property

12.1 All intellectual property rights in our website, processes, tooling, designs, and documentation remain our property.

12.2 Any intellectual property supplied by you remains your property, and you grant us a non-exclusive licence to use it for the purpose of fulfilling the Contract.

13. Confidentiality

Each party agrees to keep confidential any technical, commercial, or proprietary information disclosed in connection with the Contract.

14. Limitation of Liability

14.1 Nothing in these Terms limits or excludes liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation; or

  • any liability that cannot be excluded under UK law.

14.2 Subject to clause 14.1:

  • we shall not be liable for indirect or consequential losses, loss of profit, or loss of business;

  • our total liability shall not exceed the price paid for the Goods or Services giving rise to the claim.

15. Force Majeure

We shall not be liable for failure or delay caused by events beyond our reasonable control, including but not limited to acts of God, supply chain disruption, machine failure, labour disputes, or government action.

16. Website Use

16.1 You must not misuse this website or attempt to gain unauthorised access to it.

16.2 We do not guarantee that the website will be available or error-free at all times.

17. Data Protection

We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Please see our Privacy Policy for further details.

18. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.

19. General

19.1 We may update these Terms from time to time. The version in force at the time of your order will apply.

19.2 If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19.3 A waiver of any right shall not constitute a waiver of any other right.
